These Terms of Service ("Terms") govern your access to and use of all services offered by Nexa Academy, including our website, student portal, learning management system (LMS), mobile applications, mentorship programmes, educational programmes, events, and all related offerings (collectively, "the Services").

By registering, enrolling, making a payment, or otherwise accessing our Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please do not proceed.

We have done our best to write these Terms in plain, honest language, because we believe you deserve to know exactly what you are agreeing to.

1. Who We Are

Nexa Academy is a professional tech training institution offering skills-based programmes in Software Engineering, Data Science, and Cloud Computing & AI.

Our programmes are delivered through a mix of online instruction, in-person sessions, project work, mentorship, and community engagement, designed to take you from where you are today to where you want to be professionally.

2. Who These Terms Apply To

These Terms apply to:

• Prospective students who apply for any Nexa Academy programme
• Enrolled students actively participating in a programme
• Alumni accessing post-programme resources
• Visitors to our website or platform
• Any individual interacting with our Services in any capacity

References to "you" or "student" throughout these Terms include all of the above unless otherwise specified.

3. Eligibility

To access our Services, you must:

• Be at least 18 years of age; or have documented parental or guardian consent if under 18
• Provide accurate, truthful, and complete information during registration and throughout your enrolment
• Have the legal capacity to enter into a binding agreement

We reserve the right to deny access to any person who does not meet these requirements, or where we have reasonable grounds to believe that information provided is false or misleading.

4. Applications and Admissions

Certain programmes at Nexa Academy require a formal application before enrolment. This process may include any combination of the following:

• A written application form
• An admissions interview
• A skills assessment or entrance evaluation
• A portfolio or prior work review

Submitting an application does not guarantee admission. Nexa Academy reserves the right to accept, decline, defer, or waitlist any application at our discretion. Admission decisions are final unless we indicate otherwise in writing.

Where an applicant is declined, any application fee paid (if applicable) will be handled according to the refund terms in Section 7 of these Terms.

5. Student Accounts

To access the Nexa Academy LMS, student portal, or other digital platforms, you will be required to create a student account.

By creating an account, you agree to:

• Provide accurate information and keep it up to date
• Keep your login credentials private and confidential
• Notify us immediately at info@nexaacademy.co.ke if you suspect unauthorised access to your account
• Take full responsibility for all activity carried out under your account

Nexa Academy will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

6. Programme Fees and Payment

We believe in being transparent about money. Here is exactly how our fee structure works.

6.1 Fee Structure

Our programmes operate on a two-part fee structure:

Deposit A deposit is required to secure your place in a programme. This deposit is part of your total tuition, not an additional charge on top of it. However, the deposit is non-refundable under any circumstances, including withdrawal, deferral, or change of mind. By paying the deposit, you confirm your commitment to the programme.

Tuition Balance The remaining balance (total tuition minus the deposit already paid) is due according to the payment schedule communicated to you at the time of admission. Failure to meet payment deadlines may result in suspension of access to learning materials, mentorship, or other programme resources.

6.2 Payment Methods

Payments may be processed through approved third-party payment providers. By making a payment, you authorise us to process the transaction through the relevant payment platform. You are responsible for ensuring your payment details are accurate and that sufficient funds are available.

6.3 Payment Plans

Where Nexa Academy offers a payment plan for the tuition balance, the agreed schedule forms part of your enrolment agreement. Missing instalments without prior communication may result in restricted access to the programme.

If you are experiencing financial difficulty, we encourage you to contact us early at info@nexaacademy.co.ke. We would rather find a workable solution than lose a committed student.

7. Refund Policy

We understand that circumstances change, and we will always aim to be fair. At the same time, our programmes involve significant preparation, resource allocation, and instructor commitment from day one.

7.1 Deposit: Non-Refundable

The deposit paid at enrolment is strictly non-refundable. This applies regardless of the reason for withdrawal, including but not limited to personal circumstances, change of plans, or dissatisfaction prior to course commencement.

7.2 Tuition Balance: Conditional Refunds

Refunds on the tuition balance (the portion paid beyond the deposit) may be considered under the following conditions:

• A written refund request is submitted before a programme's specified refund deadline
• The student has not accessed a significant portion of the course materials or attended a substantial number of sessions
• No academic integrity violation has been recorded against the student's account

Where a refund is approved, it will be processed through the original payment method within a reasonable timeframe, subject to the payment provider's processing timelines.

7.3 Refunds Will Not Be Considered Where

• Course materials have been accessed and used
• The programme refund deadline has passed
• The student is found to have engaged in fraudulent enrolment or misrepresentation
• The request relates solely to the non-refundable deposit

All refund requests should be submitted in writing to info@nexaacademy.co.ke.

8. Learning Management System (LMS)

Our LMS is the primary digital environment where your learning happens. Through it, you may access course materials, submit assignments, track your progress, engage in discussions, and receive feedback.

To protect the integrity of the learning environment, you agree not to:

• Share your LMS login credentials with any other person
• Upload or distribute harmful, offensive, or unlawful content
• Attempt to bypass or circumvent any platform restriction or access control
• Extract, download, or reproduce course content in bulk
• Interfere with or disrupt platform functionality in any way

Where misuse is detected, access may be suspended immediately pending investigation. Serious violations may result in permanent termination of enrolment without a refund of fees paid.

9. Certificates and Credentials

Upon successful completion of a programme, Nexa Academy will issue a certificate of completion to students who have:

• Completed all required coursework and project submissions
• Met attendance requirements as specified by the programme
• Passed all assessments at the required grade
• Fulfilled all outstanding financial obligations

Certificates represent real achievement, and we take their integrity seriously. Nexa Academy reserves the right to revoke any certificate found to have been awarded as a result of fraud, academic dishonesty, impersonation, or administrative error.

10. Academic Integrity

We hold our students to the same professional standards we expect of any practitioner in the tech industry. Academic dishonesty is not only a breach of these Terms. It undermines the value of the credential you are working toward.

Prohibited conduct includes:

• Plagiarism in any form, including presenting AI-generated work as wholly your own without disclosure
• Contract cheating or submitting work completed by another person
• Impersonation during assessments or interviews
• Unauthorised collaboration on individual assignments
• Any form of exam misconduct

Where a violation is found, consequences may include a grade penalty, suspension from the programme, permanent termination of enrolment, or revocation of a previously awarded certificate. Nexa Academy will act proportionately and will give the student an opportunity to respond before any serious action is taken.

11. Intellectual Property

All content made available through Nexa Academy, including course materials, videos, code samples, documentation, assessments, branding, and software, is protected under applicable intellectual property laws and remains the property of Nexa Academy.

You are granted a limited, personal, non-transferable licence to access and use this content for your own educational purposes only. This licence does not permit you to:

• Reproduce or copy course content for distribution
• Resell or commercialise any Nexa Academy materials
• Share materials with individuals outside the programme without written permission from Nexa Academy

Breach of this clause may result in legal action in addition to termination of your enrolment.

12. Mobile Applications

Nexa Academy may provide mobile applications to support your learning experience. These applications are provided for personal, non-commercial educational use only.

You may not:

• Reverse engineer or decompile any application
• Modify, alter, or tamper with application components
• Distribute unauthorised copies or modified versions of any application
• Attempt to gain unauthorised access to application systems or servers

Application features and availability may change from time to time without prior notice.

13. Career Services

Nexa Academy is invested in your career outcomes. Where career support services are offered, these may include CV and portfolio reviews, career coaching sessions, networking introductions, and connections to employer partners.

However, we want to be honest with you: career services are a support, not a guarantee. Nexa Academy does not guarantee employment, placement, a specific salary, or career advancement following the completion of any programme. Outcomes will depend on individual effort, the quality of work produced, market conditions, and factors beyond our control.

We will always do our best to open doors. Walking through them is up to you.

14. Service Availability

We work hard to keep our platforms and services available and running smoothly. However, there may be occasions where services are temporarily unavailable due to scheduled maintenance, system upgrades, security incidents, third-party outages, or events beyond our reasonable control.

Nexa Academy does not guarantee uninterrupted or error-free access to any service. We will communicate planned downtime wherever possible and work to restore access promptly in the event of unplanned disruptions.

15. Limitation of Liability

To the fullest extent permitted by law, Nexa Academy shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of, or inability to use, our Services.

In any event, our total liability to you shall not exceed the total amount you have paid to Nexa Academy in the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability that cannot lawfully be excluded.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our programmes, operations, or applicable requirements. When we do, the updated version will be published on our website with a revised "Last Updated" date.

Your continued use of Nexa Academy's Services after any such update constitutes your acceptance of the revised Terms. If you do not agree with a change, you should discontinue use of our Services and notify us in writing.

We will make reasonable efforts to notify enrolled students of material changes to these Terms.
